Terms of Service & Privacy Policy

Plain-English Summary

DownTo is a student-focused independent platform. We are not affiliated with, endorsed by, or officially connected to any university, college, or school.

Posting a task is free during our launch period.

When a Seeker accepts a bid, the Seeker pays the bid amount plus a 5% service fee through the Platform.

DownTo may hold and delay release of funds until completion is approved or a dispute is resolved. “Escrow” on the Platform refers to this payment-protection workflow and not to a separate licensed escrow account.

Helpers typically receive 95% of the agreed bid after completion is approved, less any refunds, reversals, chargebacks, or other permitted adjustments.

Students who use DownTo Protection for roommate or sublease transactions may receive ID verification, document review, payment-hold protection, and dispute support for a 5% protection fee capped at $100.

Phone numbers are only shared with the other party after a match is confirmed and payment protection is activated, where applicable.

Academic integrity violations, including contract cheating, are strictly prohibited and may lead to permanent suspension or removal.

1. Acceptance of Terms

By creating an account, accessing, or using DownTo (the “Platform,” “DownTo,” “we,” “us,” or “our”), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms apply to all users, including users posting requests (“Seekers”), users offering to complete tasks (“Helpers”), and users participating in roommate, housing, or sublease-related interactions. DownTo provides a marketplace and related trust and payment tools; unless expressly stated otherwise, DownTo is not a party to agreements between users.

2. Eligibility

You must be at least 18 years old and enrolled at, affiliated with, or otherwise eligible under our onboarding rules for a university or college community to use the Platform.

By registering, you represent that:

  • the information you provide is accurate and current;
  • you are legally able to enter into a binding agreement; and
  • your use of the Platform complies with applicable law and your school's rules.

We may verify school affiliation, identity, age, contact information, or account activity at any time and may suspend, limit, or terminate access if we cannot verify eligibility or if we suspect misuse.

3. Independent Platform; No School Affiliation

DownTo is an independent private platform. We are not affiliated with, endorsed by, sponsored by, or officially associated with any university, college, school, or educational institution.

Any school names, campus references, email-domain checks, or related identifiers are used only for eligibility, identity, community, or trust purposes. They do not imply institutional approval, partnership, sponsorship, or endorsement.

Verification of a user's school affiliation does not mean that any school has reviewed, approved, supervised, or guaranteed that user or the Platform.

4. Marketplace Role; No Guarantee of User Conduct

DownTo provides technology, listings, communication tools, payment-flow tools, and trust features. We do not employ Helpers, act as an agent for users, guarantee task quality, guarantee roommate compatibility, guarantee housing availability, or guarantee that any user will perform as promised.

Users are solely responsible for:

  • their listings, bids, profiles, communications, and conduct;
  • evaluating whether to engage with another user;
  • complying with school rules, leases, subleases, contracts, and applicable law; and
  • completing transactions and obligations they choose to enter.

5. Tasks; Launch Posting Terms

During the launch period, posting a task is free unless the Platform states otherwise. We may change launch pricing, add posting fees, change fee structures, or change feature availability at any time with notice where required by law.

We may also review, reject, remove, edit, limit, pause, or deactivate any task, bid, or listing that we believe violates these Terms, creates risk, or harms the Platform or its users.

6. Payment Flow for Tasks

When a Seeker accepts a Helper's bid, the Seeker authorizes payment of:

  • the agreed bid amount; plus
  • a 5% Seeker service fee.

DownTo may process the payment immediately and may hold or delay release of funds until:

  • the Seeker approves completion;
  • an applicable holding period ends; or
  • a dispute, refund issue, chargeback, fraud review, or compliance review is resolved.

After completion is approved, the Helper will typically become entitled to 95% of the agreed bid, subject to these Terms and any payment-processor requirements, reserves, delays, reversals, or compliance holds.

Example — $100 bid

  • Seeker total: $105
  • Helper payout entitlement after approval: $95
  • DownTo fees: $10 total

DownTo may use third-party payment providers to process, route, hold, release, or settle payments. Processing times may vary.

7. Platform Fees

For completed task transactions, DownTo currently charges:

  • a 5% Seeker service fee added to the bid at checkout; and
  • a 5% Helper platform fee deducted from the bid before payout.

These fees help support payment processing, fraud prevention, support operations, trust and verification features, dispute handling, and platform infrastructure.

All applicable fees should be shown before the user confirms payment. Except as required by law or expressly stated otherwise, fees are non-refundable once the underlying payment has been processed and the relevant service has begun.

DownTo may update its fees, pricing model, or payout structure at any time, with notice where required.

8. Roommates, Subleases, and DownTo Protection

DownTo may offer roommate matching, housing-related listings, sublease-related interactions, and optional trust or payment-protection services (“DownTo Protection”).

If users choose DownTo Protection for a roommate or sublease-related transaction, DownTo may offer some or all of the following:

  • identity and school-affiliation checks;
  • review of submitted lease, sublease, or related documents;
  • a payment-hold workflow for an initial payment;
  • move-in confirmation steps; and
  • dispute support.

The current DownTo Protection fee is 5% of the first month's rent, capped at $100, unless otherwise disclosed.

Important

  • DownTo is not a landlord, broker, property manager, legal advisor, insurer, or guarantor.
  • DownTo Protection is not insurance and is not a guarantee that a roommate arrangement, sublease, or move-in will succeed.
  • Users remain responsible for reviewing documents, understanding lease obligations, verifying housing legality, and making their own decisions.
  • If verification work, document review, or payment processing has already begun, all or part of the protection fee may be non-refundable except where required by law.
  • Off-platform payments or side agreements may void eligibility for DownTo Protection.

9. Disputes, Holds, Refunds, and Chargebacks

A user may report a problem or open a dispute through available Platform workflows or by contacting support.

When a dispute, fraud concern, chargeback, reversal, refund request, compliance issue, or safety issue arises, DownTo may:

  • place a hold on funds;
  • delay payout;
  • request documentation;
  • partially refund one party;
  • deny a refund;
  • split funds;
  • recover amounts from future payouts; or
  • take other action reasonably related to risk, platform integrity, or legal compliance.

We aim to review disputes promptly, but response and resolution times may vary depending on complexity and third-party processor involvement.

Unless required by law, DownTo's decisions about platform-based payment-flow disputes are final for purposes of Platform administration.

10. Payouts and Withdrawals

Helpers may withdraw eligible balances only through supported payout methods and only after satisfying any onboarding, tax, identity, and banking requirements.

We may require:

  • legal name;
  • date of birth;
  • address;
  • bank account details;
  • tax information; and
  • any other information reasonably requested by DownTo or our payment providers.

Payout timing is not guaranteed. Payouts may be delayed by banking timelines, processor rules, account-review issues, fraud checks, disputes, chargebacks, reserve requirements, or legal compliance needs.

We may offset, recover, or withhold payouts if necessary to cover refunds, reversals, unpaid fees, suspected fraud, policy violations, or other amounts owed.

11. Phone Numbers and Communications

We may collect your phone number and other contact information for identity, trust, coordination, support, fraud prevention, or transaction-related communications.

Your phone number is not publicly displayed by default. It may be shared with another user only when reasonably necessary to facilitate a confirmed transaction, match, or protected interaction on the Platform.

You consent to receiving service-related communications from DownTo, including by email, text, or in-app notification, subject to applicable law and your communication settings where available.

12. Prohibited Uses

You may not use DownTo to post, request, offer, arrange, or facilitate:

  • contract cheating or academic dishonesty;
  • impersonation, fraud, or deceptive conduct;
  • illegal goods or services;
  • drugs, weapons, or violent activity;
  • sexual services or explicit adult services;
  • stalking, harassment, threats, or abuse;
  • hacking, unauthorized access, or privacy violations;
  • discrimination or unlawful housing practices;
  • payments or arrangements intended to bypass Platform fees, trust systems, or protections; or
  • any content or conduct that violates applicable law, school policy, or these Terms.

We may investigate, remove content, freeze funds, suspend accounts, terminate access, or cooperate with law enforcement or school authorities where appropriate.

13. User Content and License

You retain ownership of content you submit, subject to the rights you grant us below.

By posting or uploading content to the Platform, you grant DownTo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, modify for formatting, and use that content as needed to operate, improve, secure, and promote the Platform.

You represent that you have the rights needed to submit your content and that it does not violate law or the rights of others.

14. Intellectual Property

The Platform, including our software, branding, trademarks, logos, text, design elements, and related technology, is owned by DownTo or its licensors and is protected by law.

Except as expressly allowed by us in writing, you may not copy, reverse engineer, distribute, or create derivative works from the Platform.

15. Account Suspension and Termination

We may suspend, restrict, or terminate your account, remove content, cancel transactions, or limit access at any time if we reasonably believe:

  • you violated these Terms;
  • you created risk for users or the Platform;
  • your conduct is fraudulent, abusive, unlawful, or unsafe; or
  • continued access could expose DownTo to legal, financial, or operational harm.

You may stop using the Platform at any time. Some provisions of these Terms survive termination, including provisions related to payments, disputes, liability, intellectual property, and indemnification.

16. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Without limiting the foregoing, DownTo does not warrant that:

  • the Platform will be uninterrupted, secure, or error-free;
  • any listing, match, roommate arrangement, sublease, task, or payment will be successful;
  • any user is trustworthy, compatible, qualified, or legally compliant; or
  • any trust, verification, or payment-protection feature will prevent all loss, fraud, or misconduct.

17. Limitation of Liability

To the maximum extent permitted by law, DownTo and its affiliates, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost opportunity, reputational harm, or business interruption arising from or related to the Platform.

To the maximum extent permitted by law, DownTo's total aggregate liability for claims arising out of or related to the Platform will not exceed the greater of:

  • the total amount of fees paid to DownTo by you in the 3 months before the event giving rise to the claim; or
  • $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

18. Indemnification

You agree to defend, indemnify, and hold harmless DownTo and its affiliates, officers, employees, contractors, and agents from and against claims, liabilities, losses, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Platform;
  • your content;
  • your transactions or disputes with other users; or
  • your violation of these Terms or applicable law.

19. Changes to the Platform or Terms

We may update the Platform and these Terms from time to time. If we make material changes, we may provide notice by email, in-app message, website posting, or other reasonable means.

Your continued use of the Platform after changes take effect means you accept the updated Terms.

20. Privacy Policy

Information We Collect

We may collect:

  • account information, such as name, email, phone number, school, graduation year, and profile details;
  • identity or verification information you submit;
  • housing or roommate-related documents if you use DownTo Protection;
  • task listings, bids, messages, support requests, and transaction history;
  • payout, tax, and banking information needed for payouts;
  • device, log, analytics, and usage information;
  • information from payment processors and service providers.

How We Use Information

We use information to:

  • operate and improve the Platform;
  • create and manage accounts;
  • process payments and payouts;
  • verify identity, eligibility, or trust signals;
  • detect fraud, abuse, and policy violations;
  • provide support;
  • send transactional communications;
  • enforce these Terms; and
  • comply with legal obligations.

How We Share Information

We may share information:

  • with payment processors, banking partners, verification providers, hosting providers, analytics providers, email/SMS vendors, and customer-support vendors;
  • with other users when needed to carry out a confirmed transaction or protected interaction;
  • with professional advisors, auditors, acquirers, or successors in a business transaction;
  • with law enforcement, regulators, schools, or other third parties when required by law or reasonably necessary to investigate fraud, safety issues, academic-integrity issues, or legal violations.

We do not sell personal information for money in the ordinary sense of that phrase. If our practices ever trigger legal opt-out rights under applicable privacy law, we will provide the disclosures and choices required by law.

Data Retention

We keep information for as long as reasonably necessary for business, legal, tax, safety, fraud-prevention, dispute, and compliance purposes.

Security

We use reasonable administrative, technical, and organizational measures designed to protect information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Your Rights

Depending on your location and applicable law, you may have rights to request access, correction, deletion, or information about how your personal information is used or shared. We may need to verify your identity before responding.
